Legal Contract Terms You Must Know As A Freelancer

Learn essential legal contract terms every freelancer should know before signing ,from indemnification to termination clauses. 

When I first signed a freelance contract, I didn’t know what half of the words even meant. I was 23, lucky someone was willing to pay me to write, and I just blindly signed my first contract. It had one paragraph about “indemnification,” one about “governing law,” and a clause that basically said if I screwed up… they’d really screwed me.

And sure enough, just a year later, that contract nearly bit me in the ass when a customer attempted to implicate me for something well beyond my power. Had I understood The Contract Law Terms of the contract I was about to sign, I would have negotiated that clause before I even set pen to paper. Lesson learned, the hard way, what else is new, and honestly, that’s why I’m writing this. Now whether you are about to sign a lease, an employment offer, a freelance gig, a vendor agreement , these contracts clutch us all into adult life. But most of us have never been shown how to scrutinize one. So let’s change that. No law degree needed.

What do we mean by legal contract terms, then? In common phraseology, it is often used simply to mean “contracts” as in “dispute over terms of the contract.” Sometimes contract terms refer to the conditions and specifications set within an agreement, but in legal contexts, it usually pertains to the individual stipulations that comprise the contract.

The jargon of contracts is just that , language that we use to ensure that a contract is enforceable. Some terms are Latin (worth noting, “pro-rata”), but others are simply verbose old-fashioned legalese, but every term is there to make sure that the parties who enter into the contract make a clear promise to each other. Get the terms wrong but the whole contract can result in an unintelligible document, or even one that is unenforceable.

Here’s the secret most people won’t share: to understand these words.

Legal Contract Vs. Legal Agreement  , They’re Not The Same Words

I used to think “contract” and “agreement” meant the same thing. Incorrect.

A legal agreement is any kind of arrangement between two people, even a handshake agreement to cover gas money on a road trip counts.

But a legal contract is a formal, enforceable promise of what comes next: in order for a contract to truly be enforceable, it must have five elements:

  • Acceptance, agreed to by the Party, definitively and without reservation.
  • Something of value is exchanged; willingness to give up something of value (money, services, goods, anything counts, as detailed as it is real).
  • Mutual Assent: both sides truly agree and understand the same thing. Known as a “meeting of the minds” by attorneys. I have always felt that sounds more romantic than it actually is.
  • Legally everything has to be for a legal purpose.

There’s no point in writing a contract that can’t be enforced and about something illegal, no matter how perfect the language; Miss any one of these, and what you have isn’t really a contract, it’s a piece of paper with signatures on it.

The Core Glossary: Legal Contract Terms You’ll Actually Use

Let’s get to the good part  , the legal contract terms that will keep popping up, organized by the stage of the contract in which they’ll most likely arise.

Basic Concepts & Definitions

Signatory, makes a contract. Fact: there is no difference between eSignatures and signed paper contracts in the United States, so clicking on DocuSign actually has weight. Bilateral Contract  , both parties promise to buy or sell (most contracts are here).

In a Unilateral Contract, only one party makes a promise, and does not expect anything from the other party except they perform something. For example: if someone said reward for finding a lost dog. Express Contract, the terms are explicitly set forth, written or oral.

Implied Contract  , nothing was written down but can be established based on circumstances or actions. For example, when you buy a coffee for someone by giving them your card, the implications are an implied contract.

Performance & Obligation Terms

Consideration, any thing of value given by one to the other to make a promise binding. If there’s no consideration, the courts say, there’s no real contract. A term that is absolutely essential. If you break it, it can let the other party walk away altogether. Warranty  , an additional promise. Breaching makes the other party generally remedy only after damages, not breach.

Contract Life Cycle, exactly as it sounds: the entire duration of a contract from creation to termination.

Breach & Risk Terms

Breach of Contract, a party has not fulfilled their promise. The other party can get damages, insist on “performance,” or the whole contract may be avoided. Indemnification, a promise to compensate for certain specified losses including legal fees incurred by one party at the expense of the other. This is the clause that got 23-year-prior me into trouble. Force Majeure  , the “act of God” which relieves a party from having to perform if some unforeseen (a natural catastrophe, a war, a pandemic) renders performance impossible.

Termination & Exit

Termination Clause  , agreements clause, terms how and when either party most constructively pursues forward advancing. Governing Law Clause, which states the laws of which state (or country) shall govern if there is a dispute. Very important if you are doing a deal with someone out of state. Dispute Resolution Clause  , specifies the protection for the parties involved by laying down how disputes safely proceed through mediation, arbitration, or directly in the court.

Knowing these legal contract terms by heart is what separates a freelancer who negotiates confidently from one who just signs and hopes for the best.

Common Legal Words Used In Court

That is something I didn’t expect when I started paying more attention to contracts: it turns out, lots of contract disputes get settled by the court, not the documents.

If you get yourself into a situation that gets so seriously out of whack that you find yourself in front of the judge, you’ll start hearing a whole other batch of language…

Here are a few common legal words used in court, and what they mean.

Inside The Court

  • Plaintiff, the person who starts the legal proceedings.
  • The defendant is the person or organization being sued.
  • Counsel, the legal representative for either side.
  • Witness, a person who gives evidence under oath.
  • Jury, the body making the decision on the facts of the case.

Evidence And Acts

  • Affidavit, a statement in writing made upon oath.
  • Subpoena, a legal order issued by a court demanding a person to deposit certain information or produce certain documents.
  • Admissible evidence the judge will allow to be admitted.
  • Objection, a lawyer believes that the question or evidence raises an unfair point.
  • Testimony, spoken evidence given under a parental oath.

Rulings And Results

  • Verdict  , the final decision by the jury or judge.
  • Acquittal, a decision that a criminal accused is not guilty.
  • Bail, money or property given as a guarantee that an individual will appear for trial.
  • Appeal, referring a matter to a higher court for review of a lower court’s decision.
  • Mistrial; a trial that has been declared to be invalid and as is not considered valid.

For a typical business contract, you would probably never use most of them. If a dispute about a lease or employment agreement ever gets out of hand, yet this is the language that begins to fly in emails from lawyers, and it’s good to not be caught off guard by it.

The Clauses That Do The Heavy Lifting

Three clauses have always warranted special scrutiny in my presence:

(1) Jurisdiction clause, mostly if you’re remote enough that you don’t live in the same state as the other (plus worse if it’s someone you’ve never met)! Got a contract between you to determine what state’s. I once signed a contract subject to a state in which I’d never been  , if I had a dispute, I had to pay a lawyer there.

(2) Dispute Resolution Clause, in certain instances, arbitration is more efficient versus trial court, but also overall later means that you provide the corrections to a jury sampling, perform it of what you are losing.

(3) Termination Clause, at all times consider whether I can walk away or can only the other party?

Another pitfall I’ve learned to be sensitive to is vague words and phrases. If a word or phrase can be used in more than one way, it is being used in that other way most often in the term’s opponent’s favor. Ignoring state law. A contract that violates local or federal law may be unenforceable regardless of how well-drafted it is.

Omission of clauses complete. Termination clause absent? List of applicable law absent? Such omissions escalate the cost at a subsequent stage.

Nowadays, many companies use contractual management software to automatically spot these things, highlighting absent clauses, notifying approvers about renewal times, and storing all signatures in one searchable location. It’s not a substitute for comprehending the terms, but it can help uncover oversight by an exhausted, over-caffeinated reviewer at 11 p.m.

Condition: an important term which if broken, can be grounds for resolution. Warranty: normally a subsidiary term, failure to perform which does not usually entitle the innocent party to terminate, but only to damages.

  • Next time you get a contract in the mail, take an extra fifteen minutes. Reread the provisions leisurely. Look up the provisions you do not understand. One day in the future, you will be thankful.
